Pfizer's Changing Strategy
Pfizer has agreed to acquire Encysive Pharmaceuticals, a publicly held biopharmaceutical company which had been open to acquisition offers since mid-2007. This article examines Encysive’s problems in the US with its lead drug candidate, Thelin® (for pulmonary arterial hypertension) and what the company has to offer Pfizer apart from this drug, and also looks at Pfizer’s recent acquisition history, its biologics strategy, and the way that the company plans to make up for the loss of revenues after Lipitor® (its best-selling anti-cholesterol drug) loses exclusivity in November 2011.

Roche - Still One Step Ahead?
One of the next big shifts that the pharmaceutical industry will need to adapt to is the death of the blockbuster model, with which comes the emergence of personalised healthcare. Roche has experience in this area from its development of Herceptin®, and has now, with Genentech and OSI Pharmaceuticals, allied with Abbott Laboratories to develop a test to better target cancer patients being treated with Tarceva®. This article traces the development of Tarceva, advances related to a targeted test for its use, and progress in other personalised healthcare tests to date.

Competition Law and Intellectual Property Strategy in the Pharmaceuticals Sector: a review of a recently published report
This article outlines a new report which has been published under the PharmaDeals imprint. It is a co-publication with Bird & Bird, and has been written by two of the partners of that firm: Richard Eccles and Gerry Kamstra. The report sets out the essential issues concerning the IP regime and the application of competition law within the pharmaceuticals sector, and the sector-specific regulatory provisions that affect competition within it. The resulting case law and related regulatory developments are central to decisions made by pharmaceuticals companies in the EU. The report also summarises the various legal issues and developments involved, with examples given from leading cases.

Therapy Focus - Type 1 Diabetes, the Latest Developments
Type 1 diabetes is an autoimmune disease in which insufficient insulin is produced to regulate blood glucose, and is due to loss of the insulin-producing pancreatic beta cells. This therapy focus looks at the different possible treatments that are under development for the disease – prophylactic vaccines, antibodies for prevention and treatment, and approaches to the regeneration or replacement of pancreatic beta cells – and the various deals that have been made concerning them.

Business Commentary
The pharmaceutical industry is constantly changing, but over the past 2 years this change has happened apace. Biotechs have found it increasingly difficult to float, so IPOs have declined. Larger pharmas are acquiring biotechs and have upped their other deal making activities with biotechs too. Other challenges include attaining regulatory approval and pricing and reimbursement. These have all led to deep cost cutting, staff lay-offs, reduction of fixed costs and increased outsourcing solutions, including seeking partners for risk sharing. Read more

Pfizer has entered into an agreement to acquire Encysive Pharmaceuticals for US$2.35 per share, representing an equity value of approximately US$195 M. Pfizer will acquire the rights to Thelin® (sitaxsentan sodium), an endothelin A receptor antagonist for the treatment of pulmonary arterial hypertension, as well as Encysive’s other pipeline candidates. (Deal no. 29726).
Potential Deal Value: US$195 M

Genmab has entered into an agreement to acquire PDL BioPharma’s antibody manufacturing facility located in Brooklyn Park, Minnesota, for US$240 M in cash. Genmab expects that the Minnesota facility, which has a production capacity of 22,000 litres, will be sufficient to provide a sustainable source of both clinical- and commercial-scale antibody products for its pipeline. Galderma Pharma’s US holding company, Galderma Laboratories, has entered into a definitive agreement to acquire all of the outstanding shares of CollaGenex Pharmaceuticals at a price of US$16.60 per share in cash, representing a value of approximately US$420 M for the company’s equity (Deal no. 29769).
Potential Deal Value: US$420 M

Amgen has entered into an agreement for an exclusive licence to develop and commercialise Kyowa Hakko Kogyo’s humanised monoclonal antibody KW-0761 worldwide, except in Japan, Korea, China and Taiwan. Amgen will pay US$100 M upfront and up to US$420 M in additional payments, including development, approval and sales milestones. (Deal no. 29833).

Oncolys BioPharma and Medigen Biotechnology have signed a strategic alliance and licence agreement to develop and potentially commercialise Telomelysin® (OBP-301), Oncolys’ lead oncology clinical programme, currently undergoing Phase I trials in the US. The value of the deal, including upfront and milestone payments, may reach a total of US$198.9 M. (Deal no. 29844).
